Service & Booking Agreement
SOMEONES ENTERTAINMENT GROUP FZCO DUBAI BRANCH, trading as Someone’s Plan (“SEG”), TRN 104846983500003, Al Khayat Avenue, Al Quoz 1, S05, Dubai, United Arab Emirates.
Version 1.0 dated November 4, 2026. This version becomes effective for a user when that user expressly accepts it for the relevant legal profile and transaction. It does not change an existing contract without the agreement required by Section 31.
Contents: Sections 1-5, General Provisions; Sections 6-14, Part I - Customer Service Terms; Sections 15-23, Part II - Service Provider Terms; Sections 24-29, Part III - Payment, Cancellation & Settlement Terms; Sections 30-33, Electronic Acceptance, Amendments, Law and Related Documents.
General Provisions
1. Parties and application
1.1 This Agreement governs services sold by SEG to Event Owners and PRO Planners and services purchased by SEG from independent Performers, Vendors, Venue Providers and Influencers through Someone’s Plan. Each sale and purchase is a separate contract with SEG. The customer does not purchase the contracted service from the independent provider under this Agreement.
1.2 Sections 1-5 and 30-33 apply to each person accepting this Agreement in the capacity identified at acceptance. Part I applies to customers. Part II applies to providers. Part III applies only to the payment, cancellation and settlement obligations relevant to that person’s role and transaction. Access to the same public agreement does not make every user a party to every transaction or responsible for every role’s obligations.
1.3 You must have legal capacity to enter the relevant contract. If you act for a company or another person, identify that principal before contracting and confirm that you have authority to bind it. An employee, planner or account administrator must not represent an undisclosed principal or assume authority that has not been granted. An unauthorized representation does not establish the purported principal’s consent; its consequences are determined by applicable law.
1.4 A Party Seeker who only browses, follows events or uses community features is governed by the applicable platform Terms & Conditions, not the professional provider obligations in Part II. A ticket purchase is governed by the seller identity and dedicated Ticket Terms displayed and accepted for that purchase. This Agreement governs a Party Seeker only if that person separately acts as a customer or provider for a service transaction and accepts the corresponding terms. A ticket does not itself purchase event planning or provider services from SEG.
2. Definitions
2.1 “Customer” means the individual or legal entity identified as purchaser in the Booking Confirmation, acting as an Event Owner or PRO Planner. “Provider” means the individual or legal entity identified as supplier to SEG in the relevant Service Purchase Order. “Legal Profile” means the identified person or entity for whom a logged-in user acts in a stated role.
2.2 “Service” means the specific performance, goods-related service, venue service, advertising deliverable or other event service described in the accepted transaction record, including only the deliverables expressly included there. “Event” means the wider occasion for which a Service is purchased. “Event Basket” means the customer’s selection of proposed Services before checkout.
2.3 “Service Booking Fee” means SEG’s selling price for a selected Service, as displayed to the customer. It includes SEG’s commercial remuneration and is not a separate percentage-based intermediary commission. “Total Payable” means the complete amount the customer is asked to approve, including applicable VAT and all disclosed mandatory charges. No undisclosed charge may be added after acceptance.
2.4 “Booking Confirmation” means SEG’s express acceptance identifying the customer, confirmed Service and accepted order terms. A payment receipt or automated acknowledgment of an order is not a Booking Confirmation unless it expressly says that it confirms the booking. “Service Purchase Order” or “Purchase Order” means SEG’s express acceptance of a provider’s eligible offer and the private record of the resulting supply contract.
2.5 “Business Day” means a day other than Saturday, Sunday or an official public holiday in Dubai. A deadline stated by reference to an Event uses the Event’s local time zone identified in the order. “Applicable Law” includes mandatory UAE and Dubai requirements relevant to the transaction and any other law that cannot lawfully be excluded.
3. Contract documents and priority
3.1 The relevant contract comprises this Agreement, the accepted Booking Confirmation or Purchase Order, and the service description, cancellation schedule and other transaction-specific conditions clearly disclosed and accepted with it. A link to terms changed after acceptance does not replace the accepted version.
3.2 Mandatory law prevails. Next, a specific written amendment expressly agreed by the parties prevails for the matter it changes; then the accepted transaction-specific terms prevail over this Agreement for the expressly identified scope, dates, price and commercial conditions. No transaction-specific condition removes a non-excludable right or silently replaces the governing law, statutory remedies or role allocation in this Agreement.
3.3 This Agreement governs the commercial sale and supply of Services in preference to inconsistent general platform terms. The platform Terms & Conditions govern account access and conduct. Neither a profile description nor a promotional statement changes an agreed contract unless incorporated into it or otherwise legally binding. Nothing in this provision limits a remedy for a misleading statement.
4. SEG’s role and the wider Event
4.1 SEG sells the contracted Service in its own name and may engage independent providers to perform it. SEG remains responsible to the customer for its own contractual and mandatory legal obligations. A provider’s independent status does not remove those obligations.
4.2 The Event Owner or PRO Planner remains responsible for organizing the wider Event, including services purchased elsewhere and organizer duties not expressly included in SEG’s Service. SEG undertakes event management, coordination, crowd control, venue operation or similar functions only to the extent expressly purchased and described in the Booking Confirmation. This allocation does not exclude duties imposed on SEG by law or responsibility for its own acts or omissions.
5. Information, communications and confidentiality
5.1 Each party must provide accurate information material to performance, promptly correct errors, cooperate reasonably and communicate changes through the booking or Purchase Order record or the support channel shown in the relevant record. Informal discussion of a change does not, by itself, approve a different price or scope.
5.2 A party receiving nonpublic personal, event or commercial information must use it only for the relevant transaction or another lawful, authorized purpose, protect it appropriately and disclose it only to persons who need it for that purpose or where required by law. This does not restrict a lawful complaint, legal advice, regulatory disclosure or enforcement of rights. It does not authorize promotional use of customer or attendee images.
5.3 The Privacy Policy explains SEG’s personal-data processing. Contract acceptance is not blanket consent to marketing, unnecessary tracking or unrelated image use. Each provider remains responsible for the processing it undertakes and for obtaining any separately required permissions.
Part I - Customer Service Terms
6. Requests, selection and Event Basket
6.1 An event request invites proposals; it does not purchase a Service, reserve a provider or obligate SEG to accept an order. A customer may review suitable Services and provider information and add Services to the Event Basket. Selecting a provider expresses a preference for fulfillment through SEG, not a separate purchase from that provider.
6.2 Before checkout, review the service description, date, time zone, location, duration, personnel or named performer, equipment, deliverables, access requirements, exclusions, price, applicable VAT, cancellation conditions and any material risks or restrictions. Tell SEG if essential information is missing or inaccurate. SEG must supply the legally required information before the order is placed.
6.3 A PRO Planner purchasing in its own name is the customer even if arranging an Event for someone else. If a disclosed client is to be the customer, SEG must accept that legal identity and the planner’s authority before contract formation. A role label alone does not determine consumer status or remove statutory protections.
7. Customer contract formation
7.1 Checkout displays the Total Payable and the transaction conditions and requires your affirmative acceptance of Part I and the applicable provisions of Part III, together with the general provisions. Submitting the order is your offer to purchase from SEG. Payment authorization or collection alone does not constitute SEG’s acceptance.
7.2 The customer contract forms when SEG’s Booking Confirmation is made available to you in your designated account or sent to your designated email address in a form you can retain, after SEG confirms service availability and the required payment status. The confirmation must identify the accepted Service, legal customer, price, dates, cancellation conditions and Agreement version.
7.3 SEG must issue the Booking Confirmation or notify you that the order cannot be accepted within twenty-four hours after submission and, in all cases, before the scheduled Service begins. If no confirmation is issued within that period, the offer lapses unless you expressly agree to an extension. SEG must release any authorization or initiate return of collected amounts promptly under Section 27. You may withdraw an unaccepted offer by notifying SEG.
7.4 Where an Event Basket contains several Services, the confirmation must state which are accepted. SEG must obtain your agreement before proceeding with a materially different combination or price. It must not substitute an unaccepted Service or charge for a rejected line.
8. Price, VAT and customer invoices
8.1 Consumer-facing published prices include applicable VAT except where a lawful exception applies and the alternative basis is clearly identified. Before payment, checkout states the Service Booking Fee, applicable VAT and Total Payable. Any optional extra requires your affirmative selection. The agreed selling price includes SEG’s commercial remuneration.
8.2 SEG supplies the customer invoice for SEG’s sale and issues a Tax Invoice where required by law. The customer does not need to obtain an invoice from the independent provider for SEG’s sale. Invoice and tax-credit-note requirements are governed by Part III and mandatory tax law.
8.3 A price may change before an offer is accepted only with clear disclosure and renewed approval. After confirmation, a higher price or additional deliverable requires a recorded amendment under Section 9. A tax treatment correction must be legally justified and explained; it does not authorize an undisclosed discretionary surcharge.
9. Customer changes and additional work
9.1 A request to change the date, venue, duration, deliverables or personnel is not accepted until SEG confirms availability and both parties approve the revised scope, price, cancellation consequences and schedule in a durable record. SEG must obtain any corresponding provider amendment separately.
9.2 Unless a change is agreed, the existing booking continues on its accepted terms. If you choose to cancel instead, the applicable cancellation provisions apply. SEG must explain any claimed cost and cannot charge for unapproved additional work merely because it was proposed or supplied.
10. Replacement and unavailability
10.1 SEG must notify you promptly of material unavailability or a proposed replacement. A change to a named performer, material quality, venue, date or other essential feature requires your express agreement. SEG may not force a materially different replacement, downgrade or credit as your only remedy.
10.2 If an acceptable contracted Service cannot be delivered, SEG must provide the refund and other remedies required by Section 12 and Applicable Law. A provider’s cancellation, insufficient payment balance or refusal to reimburse SEG does not excuse SEG’s obligations to you.
11. Customer cancellation and postponement
11.1 You may request cancellation through the order’s cancellation function or by a written notice to the support channel shown in your Booking Confirmation. The operative time is when the notice is received by the designated system or channel, not when SEG later reviews it. SEG must provide an acknowledgment and a written calculation of the result.
11.2 For cancellation at your convenience, the clearly disclosed and expressly accepted booking-specific schedule determines any lawful cancellation charge and refund. It must identify the applicable deadlines, time zone, amount or calculation basis and affected Service. No schedule or charge first disclosed after purchase applies without your agreement.
11.3 If no cancellation charge or schedule was clearly disclosed and accepted, SEG will not impose a discretionary cancellation penalty. A cancellation before the Service begins entitles you to return of prepaid amounts for the canceled, unperformed Service; Services already separately delivered and accepted remain payable. Any different treatment must have been expressly agreed and be lawful.
11.4 Cancellation conditions do not limit rights arising from SEG’s failure to perform, defective or misdescribed Services, or other mandatory law. A postponement requires agreement and is not automatically a cancellation or a forfeiture. Provider-side purchase costs do not determine your statutory refund entitlement.
12. Nonperformance, deficient service and remedies
12.1 Notify SEG as soon as reasonably possible if a Service is missing, late, unsafe, incomplete or inconsistent with its accepted description. Provide available supporting information and a reasonable opportunity to address a curable issue where appropriate. A request for prompt notice does not impose a shortened statutory claim period or remove rights because you could not complain during an Event.
12.2 SEG will investigate and provide the remedies required by Applicable Law. Where the law gives you a choice, that choice is yours, including full refund for non-delivery or non-fulfillment, a proportionate refund for partial deficiency, or proper re-performance, as applicable. Any agreed replacement must be suitable and timely for the Event’s purpose. Re-performance after a time-critical Event is not presumed adequate.
12.3 Accepting an undisputed part of a Service, confirming attendance or providing a review does not waive a claim for another part or a defect not reasonably apparent. SEG must not condition a lawful refund on your accepting a credit, withdrawing a truthful complaint, obtaining the provider’s permission or waiting for SEG’s recovery from a provider.
13. Event duties and safe access
13.1 You must provide the agreed access, accurate venue and timing information and the customer-controlled facilities stated in the Booking Confirmation. You are responsible for wider Event permissions, attendee management and venue arrangements allocated to you, but not for licenses or duties allocated to SEG or its providers or imposed on them by law.
13.2 The Booking Confirmation must identify material permit dependencies and the party responsible for them. You must not request unlawful, unsafe or unauthorized activity. SEG or the provider may pause affected work where reasonably necessary to prevent immediate harm or illegality, notify you and seek a safe lawful solution. Charges and refunds must reflect the cause, work actually supplied, accepted terms and Applicable Law; a safety pause does not automatically forfeit all payments.
14. Customer responsibility and liability
14.1 Each party is responsible for loss attributable to its breach or wrongful acts to the extent provided by Applicable Law. You must take reasonable steps to avoid or reduce foreseeable loss. SEG is not responsible merely because a problem affects a part of the wider Event it did not agree to supply, but remains responsible for loss legally attributable to SEG’s own obligations or conduct.
14.2 No blanket exclusion, price-paid liability cap or waiver of statutory compensation applies under this Agreement. Nothing excludes or restricts liability for harmful acts, fraud, gross fault or any liability, compensation or remedy that Applicable Law prohibits the parties from excluding or limiting. A customer is not required to indemnify SEG for SEG’s own breach or wrongful conduct.
Part II - Service Provider Terms
15. Independent status and legal eligibility
15.1 The Provider supplies SEG as an independent contractor, not as the customer’s contractual seller, SEG’s employee, partner or agent authorized to bind SEG. The actual legal relationship remains subject to mandatory law; this description does not override employment, licensing or other applicable requirements.
15.2 Register the correct legal identity, address, authorized representative, business status and service categories. A company must provide its incorporation and trade-license details and evidence of authority. An individual must provide the freelance, professional, work or other authorization required for the actual activity. Identity, residency, a profile badge or availability of a bank-transfer method does not by itself establish permission to trade or work.
15.3 Maintain and promptly update applicable qualifications, licenses, permits, insurance and tax-registration information. Notify SEG immediately of a material restriction, suspension, expiry or change affecting a bid or Purchase Order. SEG may request proportionate evidence and restrict new work that is not properly authorized.
16. Profiles, categories and offers
16.1 Profile statements, portfolios, availability and service categories must be accurate and supported by the rights required for their use. Do not claim qualifications, permissions, endorsements or capacity you do not hold. Material requirements must be disclosed before bidding.
16.2 A bid is an offer to SEG identifying the Service, date and location, scope, personnel, equipment, deliverables, purchase consideration, currency, whether VAT is included or excluded, VAT status, assumptions, cancellation conditions, completion evidence, settlement terms and an expiry time. A bid must not conceal necessary charges or conditions. The Provider must affirmatively confirm the bid and have capacity to fulfill it if accepted while open.
16.3 A bid remains open for the stated validity period, subject to lawful withdrawal received before acceptance. An expired, withdrawn, materially changed or ineligible bid requires a renewed offer. Customer selection, ranking, a chat message from a customer or a payment receipt is not SEG’s acceptance of the Provider’s offer.
17. Provider contract formation and Purchase Order
17.1 Acceptance of Part II creates the master provider terms for the identified Legal Profile but does not guarantee any work. A binding supply contract forms when SEG’s express acceptance, recorded as a Service Purchase Order, becomes available to the Provider in its designated account or designated email before the offer expires, provided the acceptance corresponds to the offer.
17.2 The Purchase Order identifies SEG as purchaser and the Provider as supplier, together with the Event reference, accepted scope, date, location, deliverables, consideration and VAT treatment, applicable permits, cancellation conditions, completion and settlement requirements, and Agreement version. A Purchase Order that materially changes the bid is a counteroffer and requires the Provider’s affirmative acceptance before a contract forms.
17.3 The Purchase Order is a private supply record. The customer’s Booking Confirmation and the Provider’s Purchase Order are separate contracts and may contain different consideration and conditions. Cancellation or amendment of one does not automatically cancel or amend the other. SEG must make any corresponding decision or amendment under the applicable contract and notify the affected party.
17.4 Unless the accepted Purchase Order expressly states a lawful condition precedent and its expiry, SEG’s acceptance is not conditional on later customer payment or booking confirmation. No customer delay or payment dispute alone excuses payment of SEG’s valid purchase debt.
18. Performance, personnel and materials
18.1 Perform the Service competently, safely, lawfully, on time and to the accepted description, using suitably qualified personnel and the agreed equipment. Supply the logistics, setup, removal, consumables, technical requirements and deliverables allocated to you. Notify SEG promptly of any risk to performance and cooperate in mitigation.
18.2 The Provider is responsible for its personnel and approved subcontractors and their lawful authority to work. Do not substitute a named performer, key personnel, venue, material equipment or essential deliverable without SEG’s recorded approval and any required customer agreement. Approval does not relieve the Provider of responsibility for the accepted Service.
18.3 Secure the permissions allocated to you, including music, content, image, venue or advertising rights necessary for your deliverables. Influencers must hold applicable advertising permissions, comply with disclosure and content rules, obtain required approvals and deliver only the agreed usage rights. No Event attendance, photograph or performance grants SEG or a customer unrestricted promotional rights.
18.4 Insurance must meet mandatory requirements and any proportionate coverage expressly stated in the Purchase Order before acceptance. Supply evidence when reasonably requested. SEG’s review is not a guarantee of legal eligibility, safety, insurance sufficiency or regulatory approval.
19. Changes, attendance and completion
19.1 Only an authorized SEG representative or approved system workflow may agree a Purchase Order amendment. Record the revised scope, dates, consideration, VAT, cancellation and settlement consequences before additional work begins, except to the extent immediate lawful safety action is necessary. A customer’s request alone does not authorize extra charges to SEG.
19.2 Keep proportionate evidence of attendance, work delivered and any exception, including agreed check-in records, delivery confirmations and authorized sign-off. Submit the completion record and required invoice or settlement documents promptly. Avoid unnecessary attendee personal data and do not make covert recordings.
19.3 SEG will review complete submissions within three Business Days and identify any material missing item or disputed portion with reasons. Administrative silence is not proof of defective performance and does not remove a customer’s or Provider’s rights. Undisputed payment must not be deferred indefinitely because an internal review has not been completed; Section 26 applies.
20. Provider cancellation and failure
20.1 Notify SEG immediately if you cannot perform, giving the reason and available mitigation. Do not cancel by simply failing to attend. You must cooperate in arranging an approved substitute where feasible, but may not impose one unilaterally.
20.2 No purchase payment is due for an unperformed Service, subject to any lawful cancellation entitlement expressly agreed in the Purchase Order. Return an advance attributable to undelivered work where required. For partial performance, SEG will assess the work actually supplied and accepted and any lawful adjustment rather than automatically withholding the entire price.
20.3 A Provider’s cancellation, nonattendance or deficient performance may give SEG a claim under Section 21 and the accepted Purchase Order. A fixed cancellation amount remains subject to mandatory judicial adjustment and must not result in double recovery. Customer remedies are administered by SEG independently of its recourse against the Provider.
21. Provider liability and indemnification
21.1 The Provider is responsible to SEG for its breach and for the acts and omissions of personnel and subcontractors used to perform the Purchase Order. To the extent permitted by law, it must reimburse SEG for reasonable, evidenced loss directly caused by that breach, including required customer refunds, reasonable replacement costs and third-party claims attributable to the Provider’s conduct.
21.2 SEG must provide the basis and supporting evidence, allow a reasonable response, take reasonable steps to mitigate loss and avoid double recovery. Any third-party claim must be notified promptly; the Provider may participate in its defense, but neither party may admit liability or settle obligations in the other’s name without authority. This provision does not shift loss caused by SEG’s own breach, negligence or unlawful conduct to the Provider.
21.3 Disputed damages are not an unrestricted right to deduct all purchase debts. SEG may set off an amount only where legally permitted and sufficiently established, with written particulars. Pay undisputed amounts when due. Section 14.2’s protection of non-excludable liability applies equally to this Part.
22. Reviews, badges and account restrictions
22.1 Reviews and completion records must be truthful and relevant. A verification or performance badge describes only the checks or criteria stated with it; it is not a government license or guarantee. SEG may investigate credible misconduct, request a response and correct materially inaccurate records.
22.2 SEG may proportionately restrict new bids, suspend a profile or terminate access for material breach, fraud, safety risk or legal ineligibility, giving reasons and an opportunity to respond where lawful and practicable. Urgent protective action may precede that process. A restriction does not itself cancel existing Purchase Orders, extinguish accrued payment or refund rights, or prevent access to relevant records and dispute channels.
23. Termination and surviving duties
23.1 Either party may end the master provider relationship by written notice without creating a right to new work. Accepted Purchase Orders remain binding unless separately ended under their terms or Applicable Law. SEG must not use a new version or termination notice to rewrite completed work.
23.2 Outstanding lawful payment, refund, confidentiality, record-retention, dispute and liability obligations survive to the extent necessary to give them effect. The Provider must cooperate in an orderly transition without disclosing information beyond what is needed or withholding customer property unlawfully.
Part III - Payment, Cancellation & Settlement Terms
24. Customer collection and payment status
24.1 Customer payments are processed through Stripe using the payment methods displayed at checkout. SEG collects payment for its own sale. This Agreement does not establish a customer wallet, stored-value account, escrow or money-remittance service. It does not authorize SEG to hold funds as a regulated trustee or payment intermediary.
24.2 Unless a different payment schedule is expressly displayed and accepted, the Total Payable is due at checkout. Payment status must be distinguished from contract acceptance under Section 7. SEG must notify the customer of failed, incomplete or duplicate collection and correct an error without requiring a second payment that would duplicate an existing successful charge.
24.3 The customer must use an authorized payment method and provide accurate billing information. Payment authentication and processing do not waive statutory or contractual rights. SEG may request proportionate verification and reject a suspicious unaccepted order lawfully, but must not retain an unjustified payment.
25. Tax and purchase documentation
25.1 SEG must issue and retain customer invoices and required Tax Invoices within applicable statutory time limits, including where an advance creates a tax point before an Event. A tax invoice, payment acknowledgment, Booking Confirmation and completion record serve different functions. SEG must issue any required tax credit note for a qualifying adjustment.
25.2 A VAT-registered Provider must provide a valid supplier Tax Invoice addressed to SEG, with the required legal identity, TRN, dates, description, consideration and tax information. An unregistered Provider must not charge VAT or present a payment receipt as a VAT Tax Invoice. It must supply an ordinary commercial invoice or other legally acceptable settlement record stating its status.
25.3 An individual Provider must supply the legally required identity, eligibility, service and settlement documentation through the approved private process. A payout record or bank transfer is not a substitute for a required invoice. Any self-billing arrangement requires a separate compliant agreement and the statutory conditions; it is not assumed merely because SEG generates a statement.
25.4 Each party is responsible for its applicable tax obligations. Disclose changes in VAT status promptly. SEG may request a corrected document, but a technical invoice issue must be identified specifically and resolved proportionately. Neither party may fabricate tax, backdate records or silently alter an issued invoice.
26. Completion review, payout eligibility and timing
26.1 Unless the accepted Purchase Order specifies another lawful, definite schedule, SEG must pay the undisputed purchase amount within seven Business Days after the Service is completed and the Provider has submitted the required, valid invoice or settlement documentation and proportionate completion evidence. SEG’s review under Section 19 must take place within that period and must not restart it without a genuine material deficiency.
26.2 If SEG disputes a portion, it must promptly explain the disputed amount, reason, supporting evidence and steps for resolution. It must pay the undisputed balance when due. A customer’s refund request or chargeback does not automatically establish Provider fault or permit indefinite withholding of unrelated Purchase Orders.
26.3 Eligible Providers may receive settlement through Stripe-supported transfers and subsequent payouts where the approved configuration and recipient eligibility permit. Individuals eligible to supply SEG but not supported for that route may be paid via a lawful manual bank transfer process approved for the transaction. No payment route waives licensing, tax or verification requirements or guarantees Stripe eligibility.
26.4 Payment details must identify the lawful payee and be supplied through the approved private process. If a transfer fails, SEG must promptly notify the Provider, reconcile the attempt and request verified corrections. SEG must arrange a lawful alternative where available; a technical failure does not extinguish the purchase debt. The parties must not resubmit a transfer without checking whether the earlier attempt succeeded.
26.5 SEG will provide a settlement statement identifying the Purchase Order, paid amount, tax treatment, any lawful adjustment, payment date and reference. Bank receipt time may differ from initiation time. SEG must investigate delays and provide evidence of payment rather than treating a processor status as conclusive proof of receipt.
27. Refunds and cancellation adjustments
27.1 Customer cancellation is governed by Section 11 and the accepted booking schedule. Provider cancellation is governed by Section 20 and the separate Purchase Order. The customer refund and Provider settlement must each be calculated under their own contract; neither is automatically an allocation of the other’s payment.
27.2 SEG must promptly confirm an accepted or legally required customer refund and initiate it within seven Business Days after the entitlement and necessary amount are established, or sooner where required by law. SEG must not delay establishing entitlement unreasonably. Statutory time limits prevail. SEG will communicate the amount, initiation date, reference and any material processor delay.
27.3 Refunds will be made to the original payment method where required and available. If that route is unavailable, SEG and the customer will arrange a lawful alternative with appropriate verification. Booking credit is optional and must not replace a legally required monetary refund without the customer’s free agreement. SEG must not deduct an undisclosed processing charge or require provider reimbursement first.
27.4 A cancellation or amendment must be reflected in the relevant booking, Purchase Order, invoice or tax credit note and payment records as legally required. Original records must remain traceable. Partial delivery must be separated from undelivered or deficient elements, with no duplicate payment, refund or recovery.
28. Chargebacks, disputes and corrections
28.1 A customer may contact SEG about a payment error without waiving rights to approach a payment provider, regulator or court. SEG may supply truthful relevant evidence to the processor and must observe applicable dispute deadlines. A chargeback outcome does not by itself finally determine every contractual right between SEG, the customer and the Provider.
28.2 A party must promptly report an apparent overpayment, duplicate payment or underpayment. SEG must investigate, provide a reasoned reconciliation and correct a confirmed error lawfully. No party is entitled to recover twice for the same loss. An allegation of error does not authorize an unrelated charge or debit without the required authority.
28.3 A disputed transaction must be identified separately from undisputed amounts. SEG must explain any legally permitted temporary payment restriction, review it promptly and lift it when the reason ends. A dispute must not be used to impose an unagreed penalty, eliminate mandatory remedies or obtain unrestricted access to another party’s financial information.
29. Events outside reasonable control
29.1 A party affected by an event beyond its reasonable control must notify the other promptly, explain the impact and take reasonable mitigation measures. Lack of funds, a provider’s ordinary scheduling error or failure to obtain a permit allocated to that party is not automatically an excusing event.
29.2 Suspension, impossibility, postponement, termination and restitution are determined by the accepted contract and Applicable Law. No automatic no-refund rule applies. The parties should consider a suitable agreed alternative, but neither is compelled to accept a materially different Service. Required customer refunds remain SEG’s responsibility, and the Provider’s separate rights are assessed under its Purchase Order.
Electronic Acceptance and General Terms
30. Electronic records and multiple roles
30.1 An affirmative electronic acceptance may bind the identified person or entity where legally valid. SEG will associate acceptance with the authenticated actor, Legal Profile, role, Agreement version, accepted transaction conditions and time. The relevant contract and acceptance record will be made available in a form the party can retain.
30.2 One login may control several Legal Profiles. Acceptance for one profile or company does not constitute acceptance for another independent person or company. Changing the active role or entity requires the corresponding authority and acceptance. An administrator must not assume that access rights alone confer contract-signing authority.
30.3 Merely visiting the agreement page, an initially checked box, silence or general account activity is not the required affirmative acceptance for a new transaction under this Agreement. Material transaction changes require recorded assent by the parties affected. Separate consent must be obtained where required for optional purposes.
31. Amendments and existing bookings
31.1 SEG may publish a revised version for future transactions, with a version identifier and notice of material changes. New obligations apply only after the relevant acceptance and do not retrospectively alter an existing Booking Confirmation, Purchase Order, accrued payment, remedy or invoice.
31.2 Existing users may be asked to accept the new terms before activating a provider profile for new work, submitting a new bid or making a new purchase. Declining new terms may prevent new transactions but does not remove access reasonably needed to fulfill old contracts, obtain records, receive owed payments or refunds, or pursue complaints.
31.3 An existing contract changes only by a lawful recorded amendment agreed by the relevant parties or operation of mandatory law. A correction of a tax record must follow the applicable tax process and must not be used to disguise a retrospective commercial amendment.
32. Complaints, governing law and courts
32.1 Raise a service or payment complaint through the booking or Purchase Order support function, support@someonesplan.com, https://www.someonesplan.com/support, the contact channel stated in that record, or written notice to SEG at its address above. Include the transaction reference and requested resolution where available. SEG will acknowledge the complaint promptly, investigate fairly and communicate the result with reasons. This process does not bar or postpone a mandatory right to complain to an authority or bring a claim.
32.2 This Agreement is governed by the applicable federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai. The competent courts of Dubai have jurisdiction, subject to any mandatory jurisdiction or consumer right that cannot lawfully be excluded. This Agreement does not impose mandatory private arbitration.
32.3 An unenforceable provision will be ineffective only to the extent required by law; the remaining provisions continue where legally possible. Failure to enforce a right on one occasion does not waive it. A transfer or assignment does not release a party or materially reduce another party’s rights without the consent or legal basis required.
32.4 Where Arabic documentation or disclosures are required by law, they must be provided alongside any English version. Mandatory rules governing language, interpretation and court proceedings prevail. This Agreement does not declare that English overrides a legally required Arabic text.
33. Related legal documents
33.1 Platform access and account conduct: Terms & Conditions. Operator disclosures: Legal Information. Personal-data processing: Privacy Policy. Tracking technologies and choices: Cookie Policy.
33.2 Those documents address their stated subjects. They do not convert SEG’s Service sale into a direct provider-to-customer sale, impose provider obligations on a Party Seeker, or override the commercial priority and mandatory protections in this Agreement. Dedicated Ticket Terms apply only to the ticket transaction for which they are disclosed and accepted.
